Terms of Service
Written to be read. If any clause below is unclear, that is our failure and not yours: write to support@praxnet.ai and we will rewrite it.

1. Who these terms are between
These terms govern your use of PraxNet, the publisher side of the Prax advertising marketplace, at praxnet.ai and pub.praxnet.ai. In this document "we" and "PraxNet" mean the operator of that service, and "you" means the person or company holding the publisher account.
By creating an account or placing our code on a website, you accept these terms. If you are accepting on behalf of a company, you confirm you are able to bind it.
2. Eligibility
You must be at least 18 years old. You must have the right to place advertising on every site you add, and to receive payment in the jurisdiction you live in. Everything you tell us about your account, your sites and your payout details must be accurate, and you must keep it accurate: we send important notices, including payment notices, to the email on your account.
One person or company, one account. Creating a second account to re-apply after a rejection or a suspension is a breach of these terms.
3. Adding and verifying a site
Every site is reviewed by a person before it can serve ads. We may accept or refuse any site for any reason, and if we refuse we will tell you which reason. You may fix the issue and resubmit once immediately; after a second refusal there is a seven day wait before the next attempt.
You must prove you control a domain before it can serve, by adding a meta tag to the homepage or a line to your ads.txt file. Verifying a domain you do not control is fraud and ends the account.
4. What you must not do with the tag
These are the rules that decide whether an advertiser trusts the whole network:
- No clicking your own ads, and no asking anybody else to. Not once, not to test it. If you want to test a placement, tell us and we will help.
- No incentivised clicks or impressions. You may not offer anything of value, points, entries, access, currency, in exchange for interacting with an ad.
- No automated, purchased or exchanged traffic. That includes bots, traffic exchanges, paid-to-click services, pop-under sourcing and any traffic you bought without being able to say where it came from.
- Ad density. No more than three ad units visible in a single viewport at any screen size, and never more ad area than content area on a page.
- No deceptive placement. Ads must not be placed so that a reader could mistake them for site navigation, a download button, a play control, or your own editorial. They must not be placed within an element that moves, or under a cursor at the moment of a click.
- No modifying, hiding or intercepting the tag. Do not alter the code, wrap the click, obscure the ad, load it in a hidden or zero-size frame, or re-serve it from your own domain.
- Placements belong to the site they were created for. A placement code may only run on the domain it was approved for and its subdomains. You may create up to 5 placements per site.
5. Sites we will not accept
We refuse, and will remove at any time, any site that contains or promotes: illegal content or activity; malware, cryptojacking or deceptive downloads; hate speech or harassment; adult content; piracy or circumvention of copyright; weapons or drugs; faucets, auto-surf, paid-to-click or traffic exchanges; content generated automatically at scale with no editorial value; or financial claims that a reasonable person would read as a guarantee of returns.
We also refuse sites whose primary purpose is to carry advertising rather than to be read.
6. Earnings
You earn 80% of the advertiser spend your placements generate if you are in the founding cohort, which is the first 50 publishers, and that rate is held for 24 months from the day you are approved. The standard rate afterwards is 75%. Whichever applies to you is shown in your account and does not change without notice to you in writing.
Earnings are calculated from OUR measurement of impressions and clicks, after invalid traffic has been removed. Ad measurement systems count differently, and a difference between our number and your analytics is normal rather than an error.
Quality holds. Where traffic on a placement appears automated or otherwise invalid, we may hold the earnings it produced for up to 30 days while a person reviews them. We will tell you when we do this. If the traffic is legitimate the hold is released into your next payment. We do not hold earnings that are unrelated to the traffic in question.
We do not pay for invalid traffic, and we may reverse earnings already credited where we later establish that the traffic behind them was invalid.
7. Payment
Payment is monthly on NET-15 terms: a calendar month closes and payment is made within 15 days of the close, provided your confirmed balance is at least $50. A balance below the minimum carries forward and is not lost.
Payment is made in stablecoins to the wallet address on your account: USDT on TRON or BNB Smart Chain, or USDC on Polygon. You are responsible for the accuracy of that address and for its network. A transfer sent to an address you gave us is final and cannot be recovered by us or by anybody else. Changing the address requires confirmation from your email and pauses payments for 48 hours.
You are responsible for your own taxes. We do not withhold and we do not provide tax advice. Network fees for sending your payment are paid by us.
8. Fraud and what happens next
Where we establish that traffic was invalid or that these terms were breached, we may withhold the earnings arising from it, suspend a placement or a site, or close the account. Where an account is closed for fraud, unpaid earnings arising from the fraudulent traffic are forfeit; earnings we are satisfied were legitimate are still paid.
We will tell you what we found. If you disagree, reply and a person will look again.
9. Your content, and our code
Your site remains yours. You grant us only what is needed to run the service: the right to fetch your pages to confirm our code is installed, to serve advertising into the placements you create, and to name your site to a prospective advertiser only in aggregate rather than individually.
Our tag remains ours. We grant you a non-exclusive, revocable licence to place it on the sites we have approved, for as long as your account is in good standing. You may remove it at any time and for any reason, and we will not ask you to explain.
10. The service as it is
We provide the service as it is. We do not guarantee any level of fill, any price, any amount of earnings, or uninterrupted availability. Advertiser demand varies and we do not control it.
To the extent the law allows, we are not liable for indirect or consequential loss, and our total liability to you is limited to the earnings we owe you at the time of the claim. Nothing here limits liability for fraud or for anything else that cannot be limited by law.
11. Ending the agreement
You may close your account at any time. We will pay any confirmed balance at or above the minimum in the next scheduled batch. We may end this agreement on notice, or immediately where these terms have been breached.
12. Changes to these terms
We may update these terms. If a change materially affects your earnings, your payment terms or your obligations, we will email you at least 30 days beforehand. Continuing to serve ads after a change takes effect is acceptance of it.
